Terms of Service

These Terms of Service (“Terms”) govern all cleaning, sanitation, and related services (collectively, the “Services”) provided by Urban Simple LLC (“Urban Simple,” “we,” “our,” or “us”) to any customer (“Client,” “you,” or “your”). By requesting or accepting Services, signing a proposal, paying an invoice, or otherwise engaging Urban Simple, you agree to be bound by these Terms.

## 1. Scope of Services

1.1 Proposal & Service Plan – Services are described in Urban Simple’s written proposal, work order, or email confirmation (each, a “Service Plan”). The Service Plan outlines the location(s), frequency (e.g., nightly), tasks (e.g., deep clean, hood degreasing, floor care), and pricing.

1.2 Adjustments – Additional or modified tasks requested by Client that are not in the Service Plan may result in an updated scope and fees, subject to mutual written agreement (email sufficient).


## 2. Scheduling & Access

2.1 Site Access – Client will provide timely and safe access to all areas designated in the Service Plan, including keys, alarm codes, and any entry instructions.

2.2 Operating Hours – Unless otherwise specified, Urban Simple performs Services during off‑peak hours (typically nights). Urban Simple may adjust schedules with reasonable notice or in emergencies.


## 3. Client Responsibilities

3.1 Utilities & Safety – Client must maintain electricity, water, adequate lighting, and safe working conditions. Client must inform Urban Simple of any hazardous materials, equipment, or site restrictions.

3.2 Equipment Provided by Client – If Client supplies any equipment or chemicals, they must be safe, operable, and compliant with applicable regulations.


## 4. Fees, Invoicing & Payment

4.1 Pricing – Fees are as stated in the Service Plan. Taxes and government charges (if applicable) are additional.

4.2 Invoicing – Unless agreed otherwise, recurring Services are invoiced monthly in advance; one‑time or deep‑clean Services are invoiced upon completion.

4.3 Payment Terms – All invoices are due Net 15 days from invoice date. Late payments may incur a 1.5 % monthly finance charge (or the maximum allowed by law) plus collection costs.

4.4 Price Adjustments – Urban Simple may adjust pricing annually (or upon significant scope changes) with 30 days’ written notice.


## 5. Free Deep Clean & Promotional Offers

5.1 Three‑Month Commitment – When you sign a three‑month nightly cleaning contract, you receive a complimentary deep clean (valued up to $4,500) scheduled at project start.

5.2 Six‑Month Commitment – When you sign a six‑month nightly cleaning contract, you receive (a) your first month of nightly cleaning free and (b) a complimentary deep clean at project start.

5.3 Discretionary Right – Urban Simple reserves the right, in its sole discretion, to deny or cancel any promotional offer before performance if the facility conditions or other factors make the offer commercially impractical. Client will be notified promptly in such cases.


## 6. Cancellation & Termination

6.1 Client Cancellation – Client may cancel a scheduled Service with at least 24 hours’ notice. Cancellations with less than 24 hours’ notice may incur a cancellation fee (up to the scheduled Service’s full price).

6.2 Contract Termination – Either party may terminate an ongoing Service Plan for material breach if the breach is not cured within 10 days after written notice. Urban Simple may terminate for non‑payment after 10 days’ notice.

6.3 Early Termination Fee – If Client terminates before fulfilling a promotional commitment period (e.g., three or six months), Client is responsible for (a) full price of any free month(s) received and/or (b) retail value of any complimentary deep clean (prorated for time served).


## 7. Limited Warranty & Re‑Clean

7.1 Satisfaction Guarantee – If Client is not satisfied with a Service, Client must notify Urban Simple in writing within 24 hours. Urban Simple will promptly re‑clean the disputed area at no extra charge. This is Client’s sole remedy.

7.2 Exclusions – Urban Simple is not responsible for pre‑existing damage, ordinary wear and tear, latent defects, or issues beyond reasonable cleaning.


## 8. Liability Limitation

8.1 Indirect Damages – Urban Simple is not liable for indirect, incidental, special, or consequential damages (including lost profits) arising from or related to the Services.

8.2 Cap on Damages – Urban Simple’s total liability for any claim is limited to the amount Client actually paid for the specific Service giving rise to the claim.

8.3 Insurance – Urban Simple maintains general liability and workers’ compensation coverage consistent with industry standards.


## 9. Indemnification

Client shall defend, indemnify, and hold harmless Urban Simple, its employees, and agents against claims, damages, and expenses (including attorney fees) arising out of Client’s negligence, unsafe conditions, or breach of these Terms.


## 10. Confidentiality

Both parties agree to keep confidential any non‑public business, technical, or personal information obtained in connection with the Services, except as required by law.


## 11. Intellectual Property

All Urban Simple logos, trademarks, and proprietary materials remain Urban Simple’s property. Client may not use them without prior written consent.


## 12. SMS & Email Communications

12.1 Opt‑In Consent – By providing your phone number or email, you consent to receive service updates and limited promotional messages.
12.2 Message Frequency – Up to 4 messages per month unless mutually agreed.

## 13. Force Majeure

Neither party is liable for delays or non‑performance caused by events beyond reasonable control (e.g., natural disasters, labor disputes, power outages).


## 14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict‑of‑law rules. Any dispute shall be resolved in the state or federal courts located in Travis County, Texas. The parties waive jury trial.


## 15. Modifications

Urban Simple may revise these Terms with 30 days’ written notice. Continued use of Services after the effective date constitutes acceptance of the revised Terms.


## 16. Entire Agreement

These Terms, together with any Service Plan or proposal, constitute the entire agreement between Client and Urban Simple, superseding all prior oral or written understandings.


By accepting Services from Urban Simple, you acknowledge that you have read, understood, and agree to these Terms of Service.
